Articles of incorporation are filed with US states to officially register a corporation. Memorandum of association is the equivalent in the UK.

You will know of articles of incorporation if you've decided to incorporate your business in the US. You may also have heard it referred to as a corporate charter or certificate of incorporation.
Articles of incorporation contain details of the way a company is structured and run. These include the purpose of the company, the process of electing a board of directors and the number of shares in the company.
What you need to know about articles of incorporation.
If you're setting up a company, you'll need to file the articles of incorporation with the state agency that deals with business registration. You can get a business attorney to create your articles of incorporation, or you can do it yourself. Most Secretary of State websites have forms you can use for this and a fee will be charged.
