Contents of the report:

UniCredit S.p.A. (“UniCredit”) has received the authorization from the European Central Bank

“ECB”) to cross the 30% equity participation threshold in Commerzbank AG (“Commerzbank” or

“the bank”), and to increase its stake further without upper limits.

The decision represents an important milestone in UniCredit’s acquisition of Commerzbank,

underscoring the ECB's positive assessment of the transaction and the confidence in UniCredit's

solid fundamentals and strong standing within the European banking sector.

The remaining regulatory processes and conditions to complete the offer for Commerzbank are

expected around year end, at which time UniCredit will have approximately 50% of Commerzbank's

voting rights and be able to take control of the bank.
