** Proposed deal is for an initial cash consideration of £6 million ($7.97 million)

** Co expects proposed acquisition to be earnings enhancing for adjusted diluted earnings per share for financial year ending 31 March 2027 and in future years

** YTD, stock had risen ~15% this year
