** Denver, Colorado-based firm late Weds announced pricing private offering of $350 mln 0% convertible bonds due Oct 15, 2032

** Conversion price of $40.82 is 30% premium to stock's last sale of $31.40 on Weds

** VOYG stock sank >16% on Weds after co late Tues launched the offering for general corp purposes

** It intends to use ~$45.7 mln of net proceeds to fund capped call transactions; cap price of $78.50 represents 150% premium to stock's last close

** Through Weds, stock up 20% YTD
