Trustly Holding AB announces that its parent company, Trustly AB (publ) (“Trustly” or “the Company”), has received irrevocable and legally binding equity commitment letters of more than USD 40m from Nordic Capital (its principal shareholder), and Alfvén & Didrikson, to fund a capital raise in Trustly.

The capital raise will fund the next stage of Trustly’s growth strategy by accelerating the build of new products that will leverage AI to turn payments into intelligence that helps businesses win new customers, keep them longer and stay ahead of risk.

Trustly is building on its leading open banking payments network across the US, Canada and Europe to create a real-time intelligence platform, so that each interaction becomes smarter than the last.

The signed commitment letters from Nordic Capital and Alfvén & Didrikson are a strong endorsement of this strategy and reflect their continued support for the business and Trustly’s ambition to lead the next era of open banking.

The capital raise is expected to conclude in November 2026. Trustly’s other existing shareholders will be offered the opportunity to participate in the capital raise, and the final amount will be announced upon completion.

Johan Tjärnberg, Group CEO of Trustly said: ‘Trustly is the payments network behind more than 50 million consumers and over $120bn in transactions a year. This puts Trustly in a strong position to take a leading role in shaping the new era of financial services by bringing together payment and data services and using AI to embed real-time financial intelligence. This commitment from Nordic Capital and Alfvén & Didrikson is a vote of confidence in Trustly and where we’re headed.’

Fredrik Näslund, Partner and Head of Technology & Payments, Nordic Capital Advisors said: ‘Nordic Capital has backed Trustly since 2018, supporting its development of the largest open banking payments networks in Europe and North America. This commitment reflects a strong confidence in the business and its strategy ’.

Hjalmar Didrikson, Co-Founder of Alfvén & Didrikson said: ‘Fifteen years on from first backing Trustly, we remain as excited as ever about its future and committed to supporting its continued growth. We look forward to building on this longstanding partnership and supporting the team as it pursues the numerous opportunities ahead.’
