Public disclosure of inside information according to article 17 MAR Frankfurt/Main (pta/22.10.2026/23:35) - Frankfurt/Main, 22 October 2026 – The general partner of German Tech Holding GmbH & Co. KGaA (GTH) sets the final subscription price of the ongoing public offer for the subscription of treasury shares at 0.07 euros per share, as, in the Company's assessment, many of its shareholders are waiting until the end of the subscription period, which runs for a further five days, to decide on the exercise of their subscription rights. Only shareholders of GTH have the opportunity to subscribe for GTH shares at this subscription price. In the share purchase applications received so far, the full exercise of subscription rights without a price limit within the subscription price range was predominantly specified, i.e. the subscription rights were exercised in full up to a subscription price of 0.21 euros. Subscription rights are not exercised automatically. GTH shareholders who wish to exercise their subscription rights at the subscription price, which is less than half of today's Xetra closing price, and thereby, among other things, participate undiminished, to the extent of their previous stake in the Company, in GTH's life sciences/biotech prospects through the intended investment in Zirnostics, must do so proactively and, for this purpose, complete a share purchase application and submit it to the Company by 27 October 2026. The form is available for download at https://germantechholding.com/index.php/for-shareholders/the-share/. Insofar as not all shareholders exercise their subscription rights in full, the remaining GTH shareholders may apply for oversubscription. This enables GTH shareholders to increase their shareholding quota beyond their previous stake. However, there is no entitlement to acceptance of an oversubscription application. GG Beteiligungen UG (GGB) has undertaken to acquire, at the subscription price set, all shares that are acquired by GTH shareholders neither within the scope of their subscription rights nor by way of oversubscription. In the allocation, oversubscription applications take precedence over this backstop order of GGB. The full placement is thus secured, and an acquisition of shares from the subscription offer by third parties is not possible. How many shares GGB will take over will only be determined after the end of the subscription period on 27 October 2026, as purchase applications may be submitted to the Company by GTH shareholders until then. Christoph Gerlinger, CEO and founder of GTH, holds an indirect interest of just under 50 % in GG Beteiligungen UG. For further information, the Investor Q&A is available to shareholders on the GTH homepage. Zirnostics is preparing a clinical trial for the approval of its disruptive tracer for PSMA-PET/CT imaging in prostate cancer, which is up to 100-fold superior to legacy tracers in terms of tumour-to-background contrast and has already been successfully clinically tested for years in several hundred patients.
