Business news for the stock market London (pta/04.10.2026/10:35) - Shareholders approved the reappointment of Dr. Max Herzberg, Mr. Yochai Richter, Dr. Christian Policard and Mr. Joseph Tenne as directors. The meeting received the Company's annual report and audited consolidated financial statements for the year ended 31 December 2025, together with the directors' and auditor's reports. MHA Audit Services LLP was reappointed as the Company's auditor until the conclusion of the next accounts meeting, and the directors were authorised to determine its remuneration. Shareholders also approved the Company's strategy to partner with Eutopos Pharma, a French company intended to undertake fundraising, development and commercialisation activities initially in Europe, with the final territory to be agreed. This approval relates to the Company's strategy and does not constitute an announcement that a definitive licence agreement has been executed. The meeting renewed the directors' authority to allot shares and grant subscription or conversion rights up to an aggregate nominal amount of £10,694,620. Shareholders also passed special resolutions approving the disapplication of statutory pre-emption rights within the limits specified in the AGM notice and authorising the capitalisation of up to £5,000,000 from the specified reserves to pay up shares issued under the approved authorities. The allotment authority and associated pre-emption disapplication expire at the conclusion of the next Annual General Meeting or 15 months after their approval, whichever is earlier, subject to the provisions for offers and agreements entered into before expiry.
