M.O.B.A. Network has received subscription and voting undertakings regarding the SEK 11.3 million directed issue to be resolved upon by the extraordinary general meeting on 30 September 2026

M.O.B.A. Network AB (publ) (the “Company” or “M.O.B.A.”) has on 14 September 2026 issued a press release regarding a shareholder proposal for an up to SEK 11.3 million directed share issue (the “Directed Issue”) as well as an issue authorization for the Board (the “Issue Authorization”, and together with the Directed Issue, the “Proposal”) and has also summoned an extraordinary general meeting to be held on 30 September 2026.

Pursuant to the Proposal, the right to subscribe for the new shares in the Directed Issue is to be granted to certain specific subscribers. M.O.B.A. has now received subscription and voting undertakings from all proposed subscribers in the Directed Issue to (i) subscribe for each of their respective maximum number of shares and pay the corresponding maximum subscription amount in the Directed Issue; and (ii) vote in favour of the Proposal.

If the extraordinary general meeting on 30 September 2026 does not adopt the Proposal, whether as to the Directed Issue, the Issue Authorization, or both, the undertakings will remain in force and apply to any future proposal on materially similar terms and conditions. The undertakings represent 100% of the shares and votes that have been submitted to attend the extraordinary general meeting on 30 September 2026.
