Arribatec Group ASA: Buyback of shares for employee share purchase programme

Arribatec Group ASA (the "Company") has on 30 September 2026 engaged Pareto Securities AS to conduct repurchases of the Company's own shares to be used in the Company's share purchase programme for employees.

The buy-back programme comprises a maximum of 845,795 shares and purchases of own shares. The shares shall be used to meet the Company's obligations towards employees participating in the Company's share purchase programme, for which the subscription period closed on 30 September 2026.

Prior to the buy-back, Arribatec Group ASA holds 29,879 own shares. The Company has 66,978,676 shares outstanding.

The buy-back programme will run in the period from 1 October 2026 up to and including 30 November 2026. Pareto Securities AS makes all decisions concerning the timing of the purchases independently of the Company and without any influence from the Company. The mandate is irrevocable for the duration of the programme.

The buy-back programme is based on the authorisation granted by the Company's annual general meeting on 27 May 2026 and registered in the Norwegian Register of Business Enterprises. Under the authorisation, the Company may acquire own shares up to an aggregate nominal value corresponding to 10% of the Company's share capital. The maximum price that may be paid per share is NOK 20 and the minimum price is NOK 1. The authorisation is valid until the annual general meeting in 2027, and in any event no later than 30 June 2027.

Shares will be purchased on the Oslo Stock Exchange. The share buy-back programme is conducted in accordance with applicable safe harbour conditions, and as further set out in the Norwegian Securities Trading Act of 2007, EU Commission Regulation (EC) No 2016/1052 and the Oslo Stock Exchange's guidelines for buy-back programmes and price stabilisation, February 2021.
