Orkla: Orkla initiates share buyback program

Orkla ASA ("Orkla") has decided to initiate a share buyback program. The purpose of the share buyback program is to return excess capital to shareholders by reducing the company’s share capital. The buyback program will be conducted in accordance with the authorisation provided by the annual general meeting to the Board of Directors on 23 April 2026. The share buyback program will comprise acquisitions of own shares for an aggregate amount of up to NOK 4,000,000,000, and up to 80,000,000 shares (based on the minimum share price of NOK 50 per share as set out in the authorisation from the general meeting). Continuation of the program beyond the date of the Annual General Meeting in 2027 is subject to renewal of the authorisation for share buybacks from the company's Annual General Meeting in 2027.

The program will commence on 22 September 2026 and continue until 31 December 2027 at the latest. Orkla intends to seek approval from the Annual General Meeting for the cancellation of shares repurchased under the program.

The buyback program will be managed by ABG Sundal Collier, which will make its trading decisions in relation to the acquisition of shares independently of, and uninfluenced by, Orkla. The transactions will be conducted in accordance with the Market Abuse Regulation (EU) No 596/2014 and Commission Delegated Regulation (EU) 2016/1052 (the “Safe Harbour Regulation”).
