APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTORS

Shareholders are advised that, in accordance with paragraph 3.59(a) of the Namibia Securities Exchange (“NSX”) Listings Requirements, the Board of Directors of Skeleton Basin (“the Board”) has approved the appointment of the following persons as independent non-executive directors of the Company, with effect from 25 September 2026:

1. Mr Willy Mertens, who has also been appointed as Chairman of the Board; 2. Mr Otto Nakasole Shikongo; and 3. Ms Bridget Venner.

Mr Willy Mertens Mr Mertens has been Chief Executive Officer of Debmarine Namibia since November 2022, leading a fleet of specialised offshore diamond recovery and exploration vessels operating off Namibia’s southern coast. He previously served as Chief Financial Officer of Debmarine Namibia, Namdeb Holdings (Pty) Ltd and De Beers Namibia Holdings (Pty) Ltd from 2013 to 2022, having joined Debmarine Namibia in 2006 following internal audit roles at Namdeb and his articles at KPMG Namibia. Mr Mertens is Deputy Chairperson of the Development Bank of Namibia Limited, where he chairs the Board Credit and Investment Committee, and serves on the boards of Old Mutual Investment Group Namibia Limited and Namibia Energy Transition Fund Managers. His previous board roles include Deputy Chairperson of EBank Limited and Chairperson of the audit and risk committees of Air Namibia (Pty) Ltd and NORED Electricity Company (Pty) Ltd. He is a Chartered Accountant (SA)(NAM) and a Certified Internal Auditor, holds a Graduate Diploma in Engineering (Mining) from the University of the Witwatersrand and a postgraduate diploma in advanced taxation from the University of South Africa, and has completed the Senior Executive Programme at London Business School.

Mr Otto Nakasole Shikongo Mr Shikongo is the former Chief Executive Officer of Debmarine Namibia, the marine diamond recovery joint venture between the Government of the Republic of Namibia and De Beers Group, which he led as Managing Director and later Chief Executive Officer from December 2003 until his retirement in 2022. He was appointed to the De Beers plc Executive Committee in November 2017. His career across the Namdeb, Debswana and Debmarine Namibia businesses began in 1988 and includes the roles of Engineering Manager at Namdeb and Operations Manager at Debmarine Namibia. Mr Shikongo is currently Chairperson of the board of FirstRand Namibia Limited and a non-executive director of First National Bank of Namibia Limited. His previous board roles include non-executive director of the Namibian Stock Exchange, the National Petroleum Corporation of Namibia, the Namibian Ports Authority and Sanlam Namibia Holdings, Chairman of the Namibia Training Authority and the Roads Contractor Company, and President of the Chamber of Mines of Namibia. He holds a Master of Engineering (Mechanical) degree from the University of Southampton (United Kingdom), until retirement, he was a registered Professional Engineer in Namibia and South Africa, and has completed executive programmes at the University of Stellenbosch Business School, Ashridge and London Business School.

Ms Bridget Venner Ms Venner is a geoscientist and senior oil and gas executive with more than 40 years’ experience with Imperial Oil and ExxonMobil across Canada, Norway, the United Kingdom, the United States, the Middle East and Africa. From 2019 to 2024 she was Vice President and General Manager of ExxonMobil Namibia, where she led the company’s offshore frontier exploration business, advised Government on the development of oil and gas legislation and its regulatory framework, and served as Vice Chair of the Namibia Petroleum Operators Association. Her prior roles include Vice President and General Manager of ExxonMobil Kurdistan, where she directed exploration drilling and seismic programmes and held senior geoscience leadership roles supporting developments in the North Sea, Sakhalin and the Gulf of Mexico. She holds an Honours Bachelor of Science in Geology from Mount Allison University (Canada).

Board composition Following these appointments, the Board comprises Mr Willy Mertens (Independent Non-Executive Chairman), Mr Otto Nakasole Shikongo and Ms Bridget Venner (Independent Non-Executive Directors), Mr Romé Mostert and Ms Chastin Bassingthwaighte (Non-Executive Directors), and Mr Rowland Brown and Ms Taimi Nangula Itembu (Executive Directors). The Board welcomes Mr Mertens, Mr Shikongo and Ms Venner and looks forward to their contribution to the Company.
